STATUTE OF THE ASSOCIATION OF MULTIDISCIPLINARY RESEARCH FOR HEALTH

Art.3. 

The association is established on the initiative, the patrimonial contribution and on the basis of the free consent of the following members:

RADA CORNELIA, Romanian citizen,

BACIU ADINA-BRÎNDUȘA, Romanian citizen,

MARINESCU VALENTINA, Romanian citizen,

TURCU MIHAELA-SUZANA, Romanian citizen.


The person designated to carry out the procedure of acquiring legal personality is Mrs. RADA CORNELIA, who may empower a lawyer or natural person with special power of attorney to deal with the documents necessary to acquire legal personality or to amend the documents of the Association.

 

Art.4.

 (1) The members of the association can be both natural and legal persons who have full capacity of exercise, regardless of citizenship or nationality, who wish to carry out activities circumscribed to the proposed purpose of the association, meet the conditions provided in the Statute or established by the General Assembly and adhere to the constitutive acts, agreeing to support morally and materially the activity of the Association.

(2) The association is composed of the following categories of members:

  1. a) founding members – the persons who constituted the Association and actively contributed to the development of the activity, fulfilling its purpose and objectives and paying up to date the annual membership fee of the Association;
  2. b) associate members – natural and legal persons who subsequently adhere to the Association and materially support its activity;
  3. c) supporting members – the natural and legal persons who subsequently adhere to the Association and actively support the fulfillment of its purpose and objectives, by paying an annual fee, whose amount will be established by the decision of the General Assembly;
  4. d) honorary members – personalities who, through their actions, express their support and solidarity with the purpose and objectives of the Association, contributing to the promotion of the activities carried out by the Association and its image, at all levels;

(3) The quality of associate member of the Association is granted by the Board of Directors, following an agreement regarding the material support of the Association.

(4) The quality of supporting member is granted by the Board of Directors, following the request addressed by the interested person.

(5) The quality of honorary member of the Association is granted by the General Assembly of the Association.

Art. 5 Rights and obligations of members

(1) The rights of the founding members are as follows:

  1. a) to elect and be elected in the management and administration bodies of the Association;
  2. b) to express by vote the option towards the draft decisions of the General Assembly of the associates and of the Board of Directors, as well as in connection with the strategy and actions undertaken by the Association in order to achieve its purpose and object of activity;
  3. c) to formulate proposals, requests, notifications;
  4. d) to request and motivate the inclusion on the agenda of other issues than those announced.

(2) The main obligations of the founding members are the following:

  1. a) to observe exactly the Statute, the regulations and the decisions of the General Assembly and of the Board of Directors of the Association;
  2. b) to know the purpose and object of activity of the Association and to defend its interests;
  3. c) to support the activity of the Association in all its aspects;
  4. d) to actively participate in the work of the General Assembly of the associates and of the Board of Directors and to support morally and materially the development of the activities;
  5. e) to pay the material and financial obligations incumbent on them according to the assumed commitments;
  6. f) not to undertake actions or measures that could harm morally or patrimonially the Association and not to transmit confidential information to third parties that could harm the image and interests of the Association;
  7. g) to respond promptly to the requests of the Association to participate in the activities organized by the Association in order to achieve its purpose and objectives.

(3) The rights of associate members are the following:

  1. a) to elect and be elected in the management and administration bodies of the Association;
  2. b) to express by vote the option towards the draft decisions of the General Assembly of the associates and of the Board of Directors, as well as in connection with the strategy and actions undertaken by the Association to achieve its purpose and object of activity, in case of founding members and associates ;
  3. c) to formulate proposals, requests, notifications;
  4. d) to request and motivate the inclusion on the agenda of other issues than those announced.

(4) The main obligations of the associate members are the following:

  1. a) to observe exactly the Statute, the regulations and the decisions of the General Assembly and of the Board of Directors of the Association;
  2. b) to know the purpose and object of activity of the Association and to defend its interests;
  3. c) to support the activity of the Association in all its aspects;
  4. d) to pay the material and financial obligations incumbent on them according to the assumed commitments;
  5. e) not to undertake actions or measures that could harm morally or patrimonially the Association and not to transmit confidential information to third parties that could harm the image and interests of the Association;
  6. f) to respond promptly to the requests of the Association to participate in the activities organized by the Association in order to achieve its purpose and objectives.
  7. g) to actively participate in the work of the General Assembly of the associates and of the Board of Directors and to support morally and materially the development of the activities;

(5) The rights of supporting members are as follows:

  1. a) to elect, once every three years, by a majority of votes, following a fair and transparent electoral process, regulated by the Board of Directors, a representative in the General Assembly of the associates, who, in turn, may elect and be elected in the governing and administrative bodies of the Association;
  2. b) the representative of the supporting members in the General Assembly of the Associates has the right to express by vote his option towards the draft decisions of the General Assembly of the Associates and the Board of Directors, as well as in connection with the strategy and actions undertaken by the Associationin order to achieve its purpose and object of activity;
  3. c) the representative of the supporting members in the General Assembly of the Associates has the right to formulate proposals, requests, notifications;
  4. d) the representative of the supporting members in the General Assembly of the Associates has the right to request and motivate the inclusion on the agenda of other issues than those announced.

(6) The main obligations of the supporting members are the following:

  1. a) to observe exactly the Statute, the regulations and the decisions of the General Assembly and of the Board of Directors of the Association;
  2. b) to know the purpose and object of activity of the Association and to defend its interests;
  3. c) to support the activity of the Association in all its aspects;
  4. d) the representative of the supporting members in the General Assembly of the Associates has the obligation to actively participate in the work of the General Assembly of the Associates and of the Board of Directors and to support morally and materially the development of the activities;
  5. e) to pay the material and financial obligations incumbent on them according to the assumed commitments;
  6. f) not to undertake actions or measures that could harm morally or patrimonially the Association and not to transmit confidential information to third parties that could harm the image and interests of the Association;
  7. g) to respond promptly to the requests of the Association to participate in the activities organized by the Association in order to achieve its purpose and objectives.

(7) The rights of honorary members are the following:

  1. a) to be elected in the management and administration bodies of the Association;
  2. b) to formulate proposals, requests, notifications;
  3. c) to participate free of charge in the events organized by the Association;
  4. d) honorary members are exempted from paying the annual fee.

(8) The main obligations of the honorary members are the following:

  1. a) to observe exactly the Statute, the regulations and the decisions of the General Assembly and of the Board of Directors of the Association;
  2. b) to know the purpose and object of activity of the Association and to defend its interests;
  3. c) to support the activity of the Association in all its aspects;
  4. d) to support the development of activities;
  5. e) not to undertake actions or measures that could harm morally or patrimonially the Association and not to transmit confidential information to third parties that could harm the image and interests of the Association;
  6. f) to respond promptly to the requests of the Association to participate in the activities organized by the Association in order to achieve its purpose and objectives.

Art.6

(1) The quality of member of the Association ceases by death, withdrawal, exclusion or following the liquidation of the Association.

(2) The request for withdrawal shall be communicated to the Board of Directors at least three months before the moment of its effective application.

(3) The exclusion measure may be ordered in the following situations:

  1. a) the production of material or moral damages by acts or deeds contrary to the purpose and objectives of the Association;
  2. b) the accomplishment of acts or deeds that contradict the provisions of the Statute, the decisions of the management and administration bodies of the Association;
  3. c) the employment of the natural or legal person in activities contrary to the law and the rule of law;
  4. d) non-payment on time of the contribution or of the material or financial obligations assumed towards the Association;
  5. e) for the unjustified absence from three consecutive meetings of the management and administration bodies of the Association.

(4) The exclusion from the Association:

  1. a) The exclusion of founding and honorary members is decided by the General Assembly of the Associates, by a decision adopted by a qualified majority;
  2. b) The exclusion of associate members and supporting members is decided by a decision of the Board of Directors, adopted by a qualified majority.

The purpose of the Association is to organize and administer the following activities:

– attracting and using financial resources in the form of sponsorships, donations, grants, contributions, services in order to achieve the proposed goal, as well as by accessing financing projects;

– collaborating with Romanian governmental and non-governmental institutions and international organizations;

– informing the members and the general public about the activities of the Association;

– making and publishing for this purpose brochures, leaflets, magazines or periodical informative journals;

– organizing meetings, debates and information campaigns, and any other similar activities in order to achieve the proposed purpose;

– organization scientific events, training courses, courses, workshops;

– publishing scientific materials, articles, clinical and therapeutic guidance, profile publications;

– participating in national and international meetings, seminars in this field on specific or related issues;

– participation in events organized in the country and abroad on specific or related issues;

– awarding scholarships, prizes, grants, research sponsorships, training courses, publications in the field;

– organizing colloquia and meetings;

– media coverage, presentation of standards in the fields of behavioral sciences, social sciences, humanities, psychology, sociology, social work, anthropology, medicine, future study and futurology as well as new technologies for raising these standards;

– systematization of information in these fields, compilation of statistics, production of expertise and forecast reports;

– preparation of feasibility studies, projects;

– providing consultancy in these fields;

– providing basic training in the fields of behavioral sciences, social sciences, humanities, psychology, sociology, social work, anthropology, medicine, future study and futurology;

– affiliation of national and international bodies with the same purpose.

(1) The objectives of the Association focus on health (physical, mental, social, environmental, etc.) through study and research activities from the perspective of different specialities and fields.

 

 

Art.12 Specific objectives

 

(1) The specific objectives pursued by the establishment of the Association refer to:

– Development of scientific research and medical knowledge in the fields of behavioral sciences, social sciences, humanities, psychology, sociology, social work, anthropology, medicine, future study and futurology.

– Establishing and promoting high ethical standards in the fields of behavioral sciences, social sciences, humanities, psychology, sociology, social work, anthropology, medicine, future study and futurology in accordance with European and international standards;

– Promoting interdisciplinary cooperation and collaboration between researchers, teachers and clinicians in academic activities at national, European and international level;

– Promoting in the media, in public and at the level of patients, valid and documented information about physical and mental health in order to improve the quality of individual, family and society life

– Elaboration of programs and organization of information and education actions in the field of prevention and treatment of various psycho-socio-medical pathologies at local and national level, in collaboration with associations and organizations in Europe.

 

(2) In addition to the specific objectives of the Association, which are designed in order to achieve its purpose, contained in this Statute, the Board of Directors may establish other objectives.
